Confidential Collaboration Framework
Submissions, viewings, and partnership discussions are conducted under the following confidentiality framework.
§ 01
Confidential information
Any non public information exchanged in the course of submission, viewing, valuation, or partnership discussion, including pricing, provenance research, and draft proposals, is treated as confidential by both parties.
§ 02
Permitted use
Confidential information may be used solely for evaluating the proposed transaction or collaboration, and may not be disclosed to third parties without prior written consent, except to professional advisors bound by equivalent obligations.
§ 03
Term
Confidentiality obligations survive for five years from the date of disclosure.
§ 04
Return or destruction
Upon written request, all confidential materials must be returned or securely destroyed within 30 days.
§ 05
No obligation
Discussion under this framework does not create any obligation to enter a transaction. Either party may withdraw at any time.
